Spluxly’s free online Share Incentive Plan Calculator is a comprehensive equity compensation tool designed for employees, job seekers, and anyone who holds or is evaluating stock options as part of their remuneration package. Understanding the true value of a share incentive plan requires accounting for multiple variables — the number of options granted, the strike price, the current and projected share prices, the vesting schedule, the cliff period, and the company’s total outstanding shares for dilution purposes. This calculator handles all of these in a single tool across two modes. The Basic Calculator mode computes your current option value and projected exit value, displays your ownership percentage and fully diluted equity stake, and visualises your vesting progress with a schedule chart. The Advanced Analysis mode models your projected portfolio value under three growth scenarios — Conservative, Moderate, and Aggressive — across a configurable projection period of up to 10 years. A comprehensive Guide tab explains key terminology including stock options, strike prices, vesting, cliff vesting, and dilution, and covers important tax considerations for ISO versus NSO options, AMT implications, and 83(b) elections. Whether you are evaluating a new job offer with equity compensation or tracking the growth of existing options, this calculator delivers clear and actionable insights. Completely free, no registration required.

  • Enter Expected Exit Share Price – Type the share price you expect at the time of exit or liquidity event (e.g., $10.00)
  • Enter Vesting Period – Type the total number of years over which your options vest (e.g., 4 years)
  • Enter Cliff Period – Type the number of months before the first tranche of options vests (e.g., 12 months for a standard one-year cliff)
  • Select Vesting Frequency – Choose how often options vest after the cliff: Monthly, Quarterly, or Annually
  • Enter Total Company Shares – Type the total number of outstanding company shares for ownership and dilution percentage calculations (e.g., 10,000,000)

Advanced Analysis Tab:

  • Adjust Growth Sliders – Set Conservative (e.g., 10%), Moderate (e.g., 25%), and Aggressive (e.g., 50%) annual growth rate assumptions using the sliders
  • Set Projection Years – Choose the projection horizon from 1 to 10 years using the slider
  • Click Update Projections – View the growth chart showing projected option portfolio value under all three scenarios across the selected time horizon

How Share Incentive Plan Values Are Calculated

Current Option Value: Current Value = (Current Share Price − Strike Price) × Shares Vested

Exit Option Value: Exit Value = (Expected Exit Price − Strike Price) × Total Shares Granted

Net Gain (Current): Gain Over Exercise = Current Value − (Strike Price × Shares Vested)

Equity Ownership Percentage: Ownership % = (Shares Granted ÷ Total Company Shares) × 100

Fully Diluted Ownership: Accounts for potential dilution from other employee stock option pools and convertible instruments outstanding.

Vesting Schedule Calculation: Options vest progressively after the cliff period at the selected frequency. For a 4-year plan with a 12-month cliff and annual vesting: 25% vest at month 12, 25% at month 24, 25% at month 36, and 25% at month 48.

Example for 1,000 options at $1 strike price, $2 current price, $10 expected exit price:

MetricValue
Current Total Value$2,000
Current Gain Over Exercise$1,000
Exit Total Value$10,000
Exit Gain Over Exercise$9,000
Ownership (10M shares)0.01%

Growth Scenario Projections: The Advanced Analysis tab projects the future value of the full option grant under three compounding annual growth rate assumptions applied to the current share price over the selected number of years, giving a range of possible outcomes from conservative to aggressive.
